airPharma Acquires WE Pharmaceuticals

OVERLAND PARK, KS - (September 30, 2005) - airPharma announced today the acquisition of WE Pharmaceuticals, headquartered in Ramona, CA. The acquisition includes the portfolio of fifteen respiratory products and a novel respiratory device, as well as the company's headquarters and distribution facilities. In addition to the company's assets, airPharma also anticipates the addition of the WE Pharmaceuticals staff, having extended employment offers to all employees. The acquisition adds commercially proven products and infrastructure to airPharma's existing pipeline of respiratory drugs in development.

The acquisition represents the next step in the evolution of airPharma, transitioning the company from a research and development organization into an integrated specialty pharmaceutical company. Founder and CEO, Doug Dockhorn explained, "as the company prepares for the launch of our major products over the next few years, it was critical that we begin establishing the commercial backbone to support a full respiratory portfolio. This acquisition gives airPharma the proven products and key staff from which to expand."

WE Pharmaceuticals was privately held, and marketed well-known products such as Sinuvent®, Sinutuss®, Ah-Chew®, and Omnihist®, as well as the collapsible EZ Spacer respiratory device.
